1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website at brightproc.com (the "Site") and the mortgage loan processing services (the "Services") provided by Bright Operation Inc ("Bright," "we," "us," or "our").

By accessing the Site or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Site or Services.

2. Description of Services

Bright provides outsourced mortgage loan processing services to independent mortgage brokers and loan originators. Our Services include, but are not limited to:

  • Initial disclosure generation and delivery
  • Loan file setup and document ordering
  • Pre-submission quality review and lender submission
  • Condition tracking and borrower document collection
  • Closing coordination and post-close quality control

The specific scope of Services will be agreed upon between you and Bright prior to engagement.

3. Eligibility

Our Services are intended for licensed mortgage professionals operating in the United States. By using our Services, you represent that you are a licensed mortgage broker or loan originator authorized to conduct business in one or more of the states where Bright operates.

4. No Long-Term Contracts

Bright does not require long-term contracts, annual commitments, or minimum volume requirements. Our Services are provided on a per-file basis. Either party may discontinue the engagement at any time, subject to the completion of any loan files currently in process.

5. Pricing and Payment

Our processing fees are charged on a per-file basis and vary by loan type. Specific pricing will be provided during your initial consultation. Payment terms are as follows:

  • Fees are invoiced upon loan funding
  • Payment is due within 30 days of invoice date
  • There are no monthly minimums or hidden fees
  • Technology and platform costs are included in the per-file fee

6. Your Responsibilities

When using our Services, you agree to:

  • Provide accurate, complete, and timely loan file information
  • Maintain all required licenses and comply with applicable laws and regulations
  • Respond promptly to requests for additional documentation or information
  • Not submit fraudulent, misleading, or falsified loan applications
  • Comply with all applicable federal and state mortgage lending laws

7. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information shared during the course of the engagement, including but not limited to borrower personal information, loan details, business processes, and pricing terms. Bright operates as your back-office partner and does not contact your borrowers or referral partners independently without your authorization.

8. Compliance

Bright maintains required state licenses and registrations through NMLS. We currently operate in Arizona, Delaware, Florida, Idaho, Louisiana, Maine, Michigan, North Carolina, Pennsylvania, South Carolina, Tennessee, Texas, and Virginia. We comply with applicable federal and state regulations, including but not limited to RESPA, TILA, and ECOA.

9. Limitation of Liability

To the maximum extent permitted by law, Bright shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities, arising out of or related to the use of our Site or Services.

Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to Bright during the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive to meet our published service level agreements (SLAs), including disclosure turnaround times and quality standards, these are targets and not guarantees. Actual results may vary based on file complexity, lender requirements, and borrower responsiveness.

11. Intellectual Property

All content on the Site, including text, graphics, logos, and software, is the property of Bright Operation Inc and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Site without our prior written consent.

12. Website Use

When using our Site, you agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Site
  • Interfere with the proper functioning of the Site
  • Submit false or misleading information through any forms
  • Use automated systems to scrape or collect data from the Site

13. Indemnification

You agree to indemnify and hold harmless Bright Operation Inc, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Site or Services, your violation of these Terms, or your violation of any applicable law or regulation.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
